These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and GoPath AI. (“GoPath,” “Company,” “we,” “us,” or “our”) governing your access to and use of the GoPath platform, including but not limited to our websites, applications, APIs, integrations, templates, software, workflows, data tools, and any related services (collectively, the “Platform”).

By accessing, browsing, registering for, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and all policies incorporated herein by reference.

If you do not agree to these Terms, you must immediately cease all use of the Platform.

Nothing in these Terms shall be construed to create any partnership, joint venture, agency, or employment relationship between you and GoPath.

2. Acceptance of Terms

By using the Platform, you represent and warrant that:

• You are at least eighteen (18) years of age.
• You possess the legal capacity to enter into a binding agreement.
• If acting on behalf of an entity, you are authorized to bind that entity.
• Your use complies with all applicable laws and regulations.

Your continued use of the Platform constitutes ongoing acceptance of these Terms, including any modifications.

3. Modifications to the Terms

GoPath reserves the right, at its sole discretion, to update, amend, or replace these Terms at any time.

When material changes occur, we will take commercially reasonable steps to notify users, which may include email notification or in-platform alerts.

Your continued use following such changes constitutes acceptance of the revised Terms.

If you disagree with any update, your sole remedy is to discontinue use of the Platform.

4. Description of Services

GoPath provides a cloud-based platform that enables Users to design structured forms, collect submissions, manage operational data, standardize processes, collaborate with stakeholders, export datasets, and integrate with third-party systems.

Features may include, but are not limited to:

• Digital form creation
• Secure data capture
• Automated workflows
• Real-time data sharing
• Spreadsheet-compatible exports
• Audit trails
• Role-based permissions
• Template libraries
• Integration capabilities

GoPath continually evolves its services and reserves the right to modify, suspend, restrict, or discontinue any aspect of the Platform without liability.

5. Account Registration and Security

Certain features require account creation.

You agree to:

• Provide accurate and complete registration information
• Maintain the confidentiality of login credentials
• Restrict access to authorized individuals
• Immediately notify GoPath of suspected unauthorized use

You are fully responsible for all activities conducted under your account, whether authorized or not.

GoPath shall not be liable for losses arising from compromised credentials unless caused solely by our gross negligence.

6. Organizational Accounts

If you create an account on behalf of a business:

• The organization is deemed the account owner.
• Administrators may control user access.
• Organizational data may remain accessible to the organization even if individual users leave.

Disputes regarding internal account ownership will not be adjudicated by GoPath.

We reserve the right to determine account ownership based on reasonable evidence.

7. License Grant and Permitted Use

Subject to compliance with these Terms, GoPath grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Platform solely for lawful business or professional purposes.

You may not sublicense, resell, lease, or commercially exploit the Platform unless expressly authorized in writing.

No ownership rights are conveyed.

All rights not expressly granted are reserved.

8. Prohibited Conduct

You agree not to:

• Reverse engineer or attempt to extract source code
• Probe or test system vulnerabilities
• Circumvent authentication controls
• Upload malicious software
• Use the Platform for unlawful surveillance
• Collect data without proper consent
• Transmit defamatory, abusive, fraudulent, or misleading content
• Interfere with platform performance
• Conduct automated scraping
• Use the Platform to build a competing service

GoPath reserves the right to investigate suspected violations and cooperate with law enforcement.

9. User Data and Responsibilities

You retain ownership of data submitted through the Platform (“Customer Data”).

However, you grant GoPath a limited license to host, process, transmit, and display such data solely to provide the services.

You represent that:

• You possess all necessary rights to the data.
• You have obtained legally valid consent where required.
• Your data collection practices comply with privacy regulations.

GoPath does not monitor customer data but reserves the right to remove content that poses legal or operational risk.

10. Data Protection Role

Unless explicitly stated otherwise in a separate agreement:

• You act as the data controller.
• GoPath acts as the data processor.

Where applicable, our Data Processing Agreement governs such processing.

You are responsible for determining the lawful basis for data collection.

11. Security Practices

GoPath implements administrative, technical, and organizational safeguards designed to protect data, including:

• Encryption during transmission
• Logical access controls
• Infrastructure monitoring
• Vendor risk assessments
• Security testing

Despite these measures, no digital environment is immune from risk.

Users are responsible for maintaining endpoint security.

12. Service Availability

We aim to maintain high service availability but do not guarantee uninterrupted access.

Service interruptions may occur due to:

• Maintenance
• Infrastructure upgrades
• Cybersecurity incidents
• Force majeure events

GoPath shall not be liable for downtime beyond reasonable control.

13. Fees, Billing, and Renewals

Certain features require payment.

By subscribing, you agree to:

• Pay all applicable fees
• Provide accurate billing information
• Authorize recurring charges

Subscriptions renew automatically unless cancelled before the renewal date.

Failure to remit payment may result in suspension or termination.

Pricing may change with advance notice.

14. Intellectual Property Rights

The Platform, including all software, interfaces, design elements, documentation, and proprietary technology, is the exclusive property of GoPath or its licensors.

Unauthorized use is strictly prohibited.

Feedback License

Any suggestions, feedback, or ideas you provide may be used by GoPath without restriction or compensation.

15. Third-Party Integrations

The Platform may interoperate with third-party services.

GoPath does not control and is not responsible for:

• Third-party security
• Data handling practices
• Availability
• Functionality

Your use of third-party services is governed by their respective terms.

16. Confidentiality

Each party agrees to protect confidential information using reasonable care.

Confidential information excludes material that:

• Is publicly available
• Was already known
• Was independently developed
• Was lawfully disclosed

Confidentiality obligations survive termination.

17. Suspension and Termination

GoPath may suspend or terminate access immediately if necessary to:

• Prevent legal exposure
• Mitigate security threats
• Stop abusive behavior
• Comply with legal obligations

You may terminate your account at any time through the Platform.

Upon termination:

• Your license ends immediately.
• Access may be revoked.
• Data deletion may occur according to retention policies.

18. Disclaimers

THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

To the fullest extent permitted by law, GoPath disclaims all warranties, including:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Continuous availability

We do not guarantee that the Platform will be error-free or immune to cyber threats.

19. Limitation of Liability

To the maximum extent permitted by law, GoPath shall not be liable for:

• Indirect damages
• Lost revenue
• Business interruption
• Loss of data
• Reputational harm

Our total aggregate liability shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.

20. Indemnification

You agree to indemnify and hold GoPath harmless from claims arising out of:

• Your data
• Your regulatory violations
• Your misuse of the Platform
• Intellectual property disputes
• Fraudulent conduct

This obligation survives termination.

21. Export Controls and Sanctions

You agree not to use the Platform in violation of export control laws or economic sanctions.

You represent that you are not located in a prohibited jurisdiction nor listed on applicable sanctions registers.

22. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of [Insert Jurisdiction], without regard to conflict-of-law principles.

Any disputes shall be resolved exclusively in the courts located within that jurisdiction unless arbitration is required by law.

23. Force Majeure

24. Assignment

You may not assign these Terms without prior written consent.

GoPath may assign its rights in connection with mergers, acquisitions, or asset sales.

25. Severability

If any provision is deemed unenforceable, the remaining provisions remain in full force.

26. Entire Agreement

These Terms constitute the entire agreement between you and GoPath regarding the Platform and supersede all prior understandings.
